The Counsel will be a member of the Business Banking Legal Team located in Toronto. The team consists of a dynamic and collegial team of professionals involved in a wide range of activities working to advance strategic priorities, provide best-in-class legal advice that is integrated with our clients’ objectives and ensure proper risk oversight across TD’s Business Banking Business. Job Description:

Working with a team of lawyers led by the Managing Counsel (Business Banking), the Counsel will:

  • Possess strong understanding of the legal issues and risks relating to lending and deposit products for business customers both small and large.
  • Work collaboratively with business and corporate areas in Business Banking and other members of TD Legal, both in Canada and the U.S., to deliver the highest quality of service
  • Provide legal support to TD’s Auto Finance group, including matters relating to consumer automotive loans and dealership finance
  • Provide business clients with strategic and tactical advice on a wide variety of matters including reviewing, negotiating and advising on equipment leasing matters, priority agreements, non-disclosure agreements, loan documentation, security structure and documentation development of new products and services, customer disputes, deal structure and other matters that arise from time to time
  • Build and maintain superior relationships with internal and external business and corporate area partners
  • Keep TD Legal, business and corporate areas up to date on relevant commercial banking and small business banking legal issues affecting the TD Bank Group
  • Work closely with other control functions such as Compliance, Privacy, Anti-Money Laundering, Fraud and Operational Risk to provide coordinated advice to the Business Banking business as required
  • Materially contribute to high priority Legal Department initiatives, including knowledge management and workflow improvement


  • Law degree from an accredited law school and qualified to practice law
  • Minimum 4 years of experience in commercial and corporate lending
  • Strong interpersonal and teamwork skills
  • Strong verbal and written communication skills
  • Ability to think critically and analyze a great deal of information quickly
  • Ability to work independently and as a member of a team
  • Ability to work in a fast-paced, detail oriented environment and manage multiple deadlines and priorities
  • Ability to deal effectively with senior officers within TD and influence decision-making
