Job Description

Akebia is seeking a Senior Corporate & Securities Counsel to join its Legal Department and become a key member of the Akebia legal team. This position is based in Cambridge, Massachusetts and reports directly to the General Counsel.

Required Skills

  • Preparing all SEC filings, including periodic and current reports, proxy statements, Section 16 reports and confidential treatment requests in collaboration with internal and external accounting and legal teams
  • Working on corporate governance matters, including assisting in the preparation of certain corporate policies and materials for board and committee meetings; providing training to employees on those policies working closely with the Senior Compliance Counsel
  • Providing legal advice on disclosure matters, including investor presentations, press releases, and other corporate internal and external communications
  • Coordinating stock option and equity programs in conjunction with Finance and Human Resources departments
  • Preparing, reviewing and negotiating a diverse range of agreements common to the biotechnology industry, including master services agreements, consulting agreements, employment-related agreements, and sponsored research agreements
  • Providing legal support on transactions such as collaborations and license deals, working closely with Business Development
  • Supporting Akebia’s alliances, working closely with Alliance Management and providing legal advice as needed
  • Providing advice in a wide array of practice areas and special projects as needed
  • Keeping current on industry-related laws and regulations and create or modify policies and procedures based on such developments
  • Managing and directing outside counsel when outside expertise is needed

Required Experience

  • JD from an accredited law school and admitted to practice in Massachusetts or other U.S. state
  • 8-10 years of relevant experience in-house or with a national law firm; experience with public biotechnology companies strongly preferred, in-house experience is a plus
  • Strong knowledge of securities and general corporate law
  • Experience in board and corporate governance matters
  • Ability to quickly and effectively prioritize, review and negotiate agreements in the context of business circumstances
  • Ability to interact and communicate effectively with individuals from multiple departments and disciplines at all levels of the organization
  • Strong attention to detail and proactive approach
  • Excellent verbal and written communication skills
