  • G-III Apparel Group, the world’s premier designer and manufacturer of quality leather outerwear, dresses, women’s suits, sportswear and accessories, with a comprehensive portfolio of over 30 licensed and wholly-owned brands, including Calvin Klein, Donna Karan, Kenneth Cole, Cole Haan, Guess?, Tommy Hilfiger, Karl Lagerfeld, Levi’s, Dockers, Jessica Simpson, Vince Camuto, Ellen Tracy, Kensie, Ivanka Trump, and G.H. Bass, among others is seeking a Corporate Counsel to join the legal team based in New York City.
  • The Corporate Counsel will provide commercially focused legal support to the company, particularly in matters involving international business and licensing, corporate compliance, employment, and operations.

Responsibilities:

  • Draft, review and negotiate a variety of commercial agreements on a global basis, including product license, boutique license, sales agent, wholesale, distribution, vendor and shop-in-shop agreements, renewals and amendments
  • Assist the commercial and business teams in their compliance with/ongoing maintenance of agreements relating to international business operations and licensing
  • Advise on other commercial matters including distribution, international wholesale and retail sales, and data protection matters
  • Fulfill a general corporate legal function and legal regulatory compliance in product labeling and compliance with anti-trust, corruption and anti-money laundering laws
  • Manage training, company compliance and policy documents

Qualifications:

  • 4-7 years of relevant work experience in a corporate practice area, particularly with experience in international dealings
  • Significant experience in negotiating and drafting complex agreements
  • Must be highly organized and skilled at managing a large volume workload
  • Strong academic qualifications
  • Admitted member, in good standing, of the New York Bar
  • Excellent written and verbal communication skills
  • Ability to multitask
  • Excellent judgment
  • Strong business acumen
  • Good interpersonal skills and transaction management skills
  • Experience in drafting and negotiating various types of agreements including license agreements, vendor agreements, services agreements, confidentiality agreements, joint ventures, software agreements, and shop agreements
  • Knowledge of employment law, data privacy/security, and intellectual property concepts is helpful
