Zendesk is currently looking for a corporate attorney who is interested in joining its dynamic legal team. What you get to do every day:

  • Learn about Zendesk’s business in order to provide practical advice that is applicable to Zendesk
  • Ensure Zendesk’s compliance with securities laws and assist in the preparation of reports required by the Securities Exchange Act of 1934 and NYSE listing requirements
  • Collaborate with the Finance and Investor Relations teams on earnings releases, our awesome shareholder letter, and other disclosures to the investor community
  • Provide support for M&A transactions, including assisting with drafting of LOI terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process and execution
  • Assist with the preparation for board and committee meetings and the planning and execution of shareholders meeting, including preparation of proxy statements and related filings
  • Manage all corporate matters related to Zendesk’s subsidiaries
  • Monitor, maintain and revise various corporate governance policies and practices
  • Provide support on trade compliance matters, regulatory matters, real estate matters, and other special projects as needed

What you bring to the role:

  • JD from a leading program with strong academic credentials
  • Admission in good standing to practice in the State of California and with a minimum of 4 years practicing at an established law firm and/or public technology company with a focus on corporate and securities law
  • Experience reviewing and assisting in the preparation of securities filings, including annual reports on Form 10-K, quarterly reports on Form 10-Q, current reports on Form 8-K, and Section 16 filings
  • Experience with M&A transactions, including preparation of term sheets, drafting and negotiating transaction documentation, and coordinating the diligence process
  • Experience collaborating with finance teams and outside accounting firms
  • The ability to work and build relationship across functions and provide clear explanations to members of other teams
  • Technically savvy, and a robust personality with high levels of energy
  • Exceptional written and verbal communication skills – with a strong attention to detail
  • The ability to present ideas and solutions to many audiences, including senior management
  • The motivation of a self-starter with the ability to be a team player wherever needed
